1. Acceptance of Terms

By accessing or using Prodify ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any modifications.

2. Description of Service

Prodify is an AI-powered image generation platform designed for Amazon sellers. The Service allows users to upload product photos and automatically generate complete 7-image Amazon listing packs, including main images on white backgrounds, lifestyle scenes, infographics, and comparison images. All generated images are designed to comply with Amazon listing requirements.

3. Account Responsibilities

• You must provide accurate and complete registration information, including a valid email address.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized access to or use of your account.
• You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Service.
• Each account is for a single user. You may not share your account credentials with others or transfer your account without prior written consent.

4. Acceptable Use Policy

You agree not to use the Service to upload, generate, or distribute content that:

• Is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Infringes upon the intellectual property rights, privacy rights, or any other proprietary rights of any third party.
• Contains malware, viruses, or any other harmful computer code.
• Depicts or promotes violence, hate speech, or discrimination against any group.
• Is intended to mislead or deceive consumers, including counterfeit product imagery.
• Violates any applicable local, state, national, or international law or regulation.

We reserve the right to remove any content and terminate accounts that violate these policies without prior notice.

5. Intellectual Property

Your uploads: You retain all ownership rights to the original product photos you upload to the Service. By uploading content, you grant Prodify a limited, non-exclusive license to use, process, and store your uploads solely for the purpose of generating images on your behalf.

Generated images: You own all generated images and are granted a full commercial license to use them for any lawful business purpose, including but not limited to Amazon product listings, marketing materials, social media, and print advertising.

Our platform: The Prodify platform, including its algorithms, interface, branding, and all associated intellectual property, remains the exclusive property of Prodify. These Terms do not grant you any rights to our platform beyond the limited right to use the Service as described herein.

6. Payment and Credits

• The Service operates on a credit-based system. One credit is required per listing pack generation (7 images per pack).
• New accounts receive 5 free credits upon registration to trial the Service.
• Credits may be purchased through credit packs or subscription plans. All payments are processed securely through our payment provider, Creem.
• Refund policy: Credits are non-refundable once they have been used for image generation. Unused purchased credits may be refunded within 30 days of purchase upon request. Free promotional credits are non-refundable.
• Subscription plans are billed monthly and can be cancelled at any time. Upon cancellation, you retain access until the end of your current billing period.
• All prices are stated in US Dollars (USD) unless otherwise indicated.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Prodify and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

The Service is provided on an "as is" and "as available" basis. We do not guarantee that generated images will meet your specific requirements, that they will be error-free, or that the Service will operate without interruptions. AI-generated content may occasionally produce unexpected results, and you are responsible for reviewing all generated images before use.

8. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms, for misuse of the Service, or for any other reason at our sole discretion.

Upon termination, your right to use the Service will immediately cease. Any unused purchased credits may be refunded at our discretion. You may download any images generated prior to termination within 30 days of the termination notice.

You may terminate your account at any time by contacting our support team or using the account deletion option in your account settings.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
